13. Governing Law

This Agreement is governed by the laws of Ontario province of Canada. You hereby consent to the exclusive jurisdiction and venue of courts in Ontario in all disputes arising out of or relating to the use of 2FITBODY Web Site. Use of 2FITBODY Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including, without limitation, this paragraph.

14. No Relationship

You agree that no joint venture, partnership, employment, or agency relationship exists between You and 2FITBODY as a result of this Agreement or use of 2FITBODY Web Site, including, without limitation, 2FITBODY's Web Services.

15. Construction

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including without limitation the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Agreement shall continue in effect.

16. Entire Agreement

Unless otherwise specified herein, this Agreement constitutes the entire agreement between You and 2FITBODY Web Site, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between You and 2FITBODY Web Site, including without limitation to 2FITBODY's Web Services.

17. Notices

Notices given by 2FITBODY to You will be given by a general posting on 2FITBODY Web Site or by an e-mail, if an e-mail address is available. Notices to 2FITBODY must be sent through contact form.

18. Assignment

2FITBODY may assign this Agreement, in whole or part, in its sole discretion. You agree not to assign, transfer or sublicense your rights as a member without the prior written consent of 2FITBODY.

19. Captions and Headings

Captions and paragraph headings are for convenience only and are not a part of this Agreement and shall not be used in construing it.
